If you would like to give the Creature Hero Foundation permission to use (online, print, etc.) any/all attached media files (images, videos, etc.), please read and sign the following Materials Release:
This confirms that, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the undersigned (“Grantor”), grants to Kratt Brothers Creature Heroes Society and its successors, assigns and licensees (“CHS”) the irrevocable right in perpetuity to record, reproduce and otherwise use all materials, including all photographs, videos and any and all additional materials (if any) submitted by the undersigned to this website creaturehero.org (the “Site”), including all likenesses, images, designs and artwork contained therein and all copyrights associated with any of the foregoing and all other intellectual property rights embodied in or associated therewith in connection therewith (the “Materials”) in and in connection with the Site, the Grizzly Gulch Creaturefuge and any and all future Creaturefuges established by CHS or its affiliates and in any and all marketing, advertising and promotional materials in connection therewith in any and all manner and media (whether now known or hereafter devised) throughout the universe, including without limitation via release on the Site (including as it may be revised in the future) and any successor website, CHS’ social media channels, and in CHS’s email marketing campaigns. Grantor acknowledges and agrees that Grantor shall not be entitled to any further or additional payment, of any kind or nature whatsoever, including, without limitation, any royalty, residual or re-use payments in connection with the use of the Materials. Grantor acknowledges that CHS shall have no obligation to use the Materials. Grantor hereby releases CHS and its employees, officers, directors, shareholders, agents, consultants and contractors from any and all claims of any kind or nature whatsoever arising from the use of the Materials, including, but not limited to, those based upon defamation (including libel and slander), invasion of privacy, right of publicity, copyright, or any other personal and/or property rights (“Claims”) and agrees that Grantor will not now or in the future assert or maintain any Claims against CHS and/or its employees, officers, directors, shareholders, agents, consultants and contractors. Grantor represents, warrants, covenants and agrees that: (i) Grantor is at or over the age of majority in the jurisdiction in which Grantor resides; (ii) Grantor is the parent or legal guardian of all persons under the age of majority who are recognizable in any of the Materials (the “Minors”); (iii) no persons other than the Grantor and/or the Minors are depicted in any of the Materials; (iv) Grantor is the owner of all right, title and interest in and to the Materials and all elements thereof; (v) the consent of no other person or entity is required to enable CHS to use the Materials as authorized herein; (vi) CHS will not have to pay any monies or other consideration to any party, or to obtain releases or consents from any party with respect to the use of the Materials as authorized herein; and (vii) CHS’s use of the Materials as authorized herein will not violate or infringe upon the trademarks, service marks, trade names, copyright, moral rights, artistic rights, rights of publicity, privacy rights and/or any other rights of any third party. Grantor shall indemnify CHS and its employees, officers, directors, shareholders, agents, consultants and contractors and hold them harmless from and against any and all claims, liability, losses, damages, costs and expenses (including attorneys’ fees), judgments and penalties arising out of, resulting from or incurred from the use of the Materials as authorized herein and/or arising from the breach or alleged breach of any representation, warranty covenant or agreement made by Grantor herein.
